1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Afirm Labs website, services, and AI-powered document processing platform (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

2. Description of Services

Afirm Labs provides AI-powered document processing services designed for mid-size insurance brokers, including:

• Automated extraction and processing of insurance documents (loss runs, SOVs, ACORDs, quotes, COIs)
• Data normalization and structuring
• Document analysis and insights
• Workflow automation consulting and implementation
• Related AI automation services

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Services. By using our Services, you represent and warrant that you meet these requirements.

4. Account Registration and Security

If you create an account with us:

• You must provide accurate, current, and complete information
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized access or security breach
• We reserve the right to suspend or terminate accounts that violate these Terms

5. Use of Services

5.1 Permitted Use

You may use our Services only for lawful purposes and in accordance with these Terms. Our Services are intended for business use in the insurance industry.

5.2 Prohibited Use

You agree not to:

• Use the Services for any illegal or unauthorized purpose
• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Transmit malicious code, viruses, or harmful data
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services or servers
• Reverse engineer, decompile, or disassemble our software or AI models
• Use automated systems (bots, scrapers) without authorization
• Resell or redistribute our Services without permission
• Upload documents containing false, misleading, or fraudulent information

6. Document Processing and Data

6.1 Your Documents

You retain all rights to the documents you upload to our Services. You grant us a limited license to process, analyze, and store your documents solely to provide the Services.

6.2 Accuracy and Reliability

While we strive for high accuracy in our AI document processing, we do not guarantee 100% accuracy. You are responsible for reviewing and verifying all processed data before using it in business decisions. Our Services are designed to assist, not replace, human judgment.

6.3 Data Security

We implement industry-standard security measures to protect your documents and data. However, no method of transmission or storage is completely secure. You acknowledge and accept the inherent risks of transmitting data over the internet.

7. Intellectual Property

7.1 Our IP

All content, features, and functionality of our Services, including but not limited to software, AI models, algorithms, text, graphics, logos, and trademarks, are owned by Afirm Labs and protected by copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your business purposes in accordance with these Terms.

7.3 Feedback

If you provide us with feedback, suggestions, or ideas about our Services, you grant us an unrestricted, perpetual, royalty-free license to use, modify, and incorporate such feedback without compensation or attribution.

8. Fees and Payment

If you subscribe to a paid plan or service:

• Fees are specified in your service agreement or on our pricing page
• Fees are non-refundable except as required by law or stated in your service agreement
• We may change our fees upon reasonable notice
• Late payments may result in service suspension
• You are responsible for all taxes associated with your purchase

9. Term and Termination

9.1 Term

These Terms remain in effect while you use our Services.

9.2 Termination by You

You may stop using our Services at any time. If you have a paid subscription, termination terms are specified in your service agreement.

9.3 Termination by Us

We may suspend or terminate your access to our Services at any time, with or without cause or notice, including for violation of these Terms.

9.4 Effect of Termination

Upon termination, your right to use the Services immediately ceases. We may delete your account and data in accordance with our data retention policies and applicable law.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties regarding accuracy, reliability, or completeness of AI-processed data
• Warranties that the Services will be uninterrupted, secure, or error-free
• Warranties that defects will be corrected

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AFIRM LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE.

Our total liability arising out of or relating to these Terms or the Services shall not exceed the greater of:

• The amount you paid us in the 12 months preceding the claim, or
• $100 USD

12. Indemnification

You agree to indemnify, defend, and hold harmless Afirm Labs and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including attorneys' fees) arising out of or related to your use of the Services, violation of these Terms, or infringement of any third-party rights.

13. Third-Party Services

Our Services may integrate with or link to third-party services (e.g., cloud providers, scheduling tools). We are not responsible for third-party services, and your use of them is governed by their respective terms and policies.

14. Dispute Resolution and Governing Law

14.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@afirmlabs.com to attempt to resolve the dispute informally.

14.2 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes shall be resolved in the courts located in Delaware.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after changes constitutes acceptance of the modified Terms.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any service agreements, constitute the entire agreement between you and Afirm Labs regarding the Services.

16.2 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.

16.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

16.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
